Navya announces the partial takeover of its activities by Gaussin, and its delisting as a result of its judicial liquidation

Villeurbanne, France, April 18, 2023 – 6PM CET – NAVYA (FR0013018041 – “Navya” or the “Company”) announces the decision of the Commercial Court of Lyon, by a judgment of today, to adopt a disposal plan and to order, as a consequence, the judicial sale of all its tangible and intangible assets of the Courbevoie and Villeurbanne sites and of the inventories of the Vénissieux site, for a sale price of 1.4 million to Gaussin, a public limited company listed on Euronext Growth Paris through a joint venture with the Japanese group MACNICA, listed on the Tokyo Stock Exchange, which holds 51% and 49% of the share capital and voting rights respectively.

143 French employees have been taken over out of a total of 206, as well as the subsidiaries Charlatte Autonom and Navya Systems Pte Ltd.

Navya announces that the Commercial Court of Lyon has pronounced in a judgment of the same day, the conversion of the Company’s receivership proceedings, opened by the judgment of February 1, 2023, into liquidation proceedings.

Given the opening of this judicial liquidation procedure, there will be no resumption of the listing, and Euronext will soon proceed with the delisting of Navya shares.

Navya defers the publication of its 2022 annual accounts

Update on the receivership procedure

Villeurbanne, France, March 17th, 2023 – 5:45 PM CET – NAVYA (FR0013018041 – “Navya” or the “Company”) reminds that the Commercial Court of Lyon has decided on February 1, 2023, to open a receivership procedure.

Initially, the Commercial Court of Lyon had set February 21st as the deadline for the submission of takeover bids to the judicial administrator and March 7th as the deadline for the examination of these bids.

In a judgment delivered on March 8th, 2023, the Commercial Court of Lyon decided to continue the observation period and set a new timetable:

  • March 16th, 2023 at 12:00 pm: deadline for submission of offers;
  • March 30th, 2023: new deadline for bid improvement; and
  • April 4th, 2023 at 10:00 a.m.: bid review hearing.

In the meantime, the Company’s operations are continuing during the observation period.

The suspension of the listing of Navya shares, effective since January 25, remains in place.

Navya has been granted an extension by the Lyon Commercial Court

New Charlatte Autonom® autonomous baggage tractor trials on the most important airport in Germany

Villeurbanne, France, february 28, 2023 – 5.45 PM CEST – NAVYA (FR0013018041- Navya), a leader in autonomous mobility systems, and its partner Charlatte Manutention, both forming the subsidiary Charlatte Autonom®, announce the deployment of their Tract Autonom® AT135 solution on Frankfurt Airport, Germany, as part of their collaboration with the airport operator Fraport.

The Tract Charlatte Autonom® AT 135 will connect future Terminal 3 to Terminal 2 of Frankfurt Airport over 8 km. Two routes have been deployed, for 2 different use cases:

– 1 trip with a convoy of luggage trailers, on an indoor and outdoor route.

– 1 trip on an outdoor cargo flow only, with large cargo trailers.

The solution will therefore have to cross paths with other vehicles, tractors, tankers, ground support equipment (GSE) and, of course, the airport site crew.

These routes integrate the different scenarios that an autonomous vehicle may encounter on an airport site and allow to validate the solution in real conditions by evaluating the technology, safety and economic profitability of the vehicle.

At the end of the trial, Fraport will be able to project the solution in the short term on different types of flows (baggage or cargo).

NAVYA achieved stable revenues of €10.1 million in 2022

Villeurbanne, France, february 15th, 2023 – 5:45 pm CEST – NAVYA (FR0013018041 – Navya), announces stable revenues of €10.1 million for the year ending December 31, 2022. The highlights are as follows:

  • Sales of 20 autonomous vehicles in 2022 (19 in 2021), including 9 reconditioned vehicles incorporating the latest software developments. This new development model will enable the technology of the shuttles deployed to evolve and increase the quality of service to customers. However, this will penalize the average selling price, which is down 12% compared to 2021 at €194,000.
  • From a geographical point of view, we note the commercial expansion in the USA with 11 shuttles sold and the new development in South America, with a deployment in progress in Argentina (1 shuttle).
  • Associated services accounted for 45% of NAVYA’s revenue in 2022, with their value growing by 9% over the previous year.

NAVYA recalls that the company has been in receivership since February 1, 2023. The Commercial Court of Lyon has set February 21, 2023 as the deadline for the submission of takeover offers to the judicial administrator and March 7, 2023 as the deadline for the examination of these offers.

Navya requests receivership proceedings

Villeurbanne, France, January, 25th, 2023 – 5:45 pm CEST – NAVYA (FR0013018041- « Navya » or the « Company »), announces having filed today a declaration of cessation of payments (“déclaration de cessation des paiements”) with the Lyon Commercial Court.

The employee representative bodies were informed on this today.

Given the evolution of its share price and the liquidity of the shares on the market, Navya was no longer in a position to issue new tranches of OCABSA in an amount sufficient to cover all of its cash needs. In addition, all attempts to back it up with investors have failed.

To date, the Company reports current liabilities and does not have sufficient available resources to meet them.

In this context, the Company has today requested the opening of receivership proceedings (“procédure de redressement judiciaire”) with the Commercial Court of Lyon.

The purpose of these proceedings is to evaluate all solutions that could enable the Company to continue its activity in a lasting way, maintain employment, and also to attract investors within the framework of a recovery plan by way of continuation or a sale plan.

The Lyon Commercial Court will rule on this request for the opening of receivership proceedings during a hearing to be held on January 31, 2023. If the Commercial Court grants the Company’s request, the Company will continue its current activities during the observation period.

Navya will inform the financial markets of the decision of the Lyon Commercial Court.

Navya has asked Euronext to suspend the listing of its shares from this morning before the opening of trading. Given the uncertainty regarding the outcome of the receivership proceedings and the steps taken by the Company, the suspension of the listing of the shares is maintained until further notice and may possibly never resume.

Bluebus Autonom® successfully passes its first operating tests at the Transpolis proving ground

Villeurbanne, France, January, 10th, 2023 – 07:30 am CEST – NAVYA (FR0013018041- Navya), an autonomous mobility systems leader, and its Bolloré owned industrial partner Bluebus, annouce the success of the Bluebus Autonom’s® initial operating trials at the expected performance levels.

Bluebus was tested in autonomous mode on various types of operating routes over a distance of more than thirty kilometers in a safe area, resulting in the validation of its steering and its dynamic interaction between the Bluebus automized rolling platform and the NavyaDrive® autonomous driving software.

The trials, conducted in level 4 autonomy mode, took place at the Transpolis site at Les Fromentaux, which provides not only a safe proving ground to carry out fine tuning, but also the flexibility needed for testing various operational use cases.

The tests were carried out on in the real-life conditions of a tram circuit with stops along the way, where obstacles were positioned to test braking. The overall response of the vehicle was completely satisfactory in terms of comfort and safety.

This key validation step allows us to take our roadmap a stage further toward putting a number of targeted use cases into operation at our customers’ sites in the fourth quarter of 2023.

The Bluebus Autonom® pioneer project was launched in 2021 with the aim of developing the first French series production autonomous bus that adheres to the standards of the automotive industry. Developed as part of the EFIBA program (Emergence Filière Bus Autonomes), and supported by the France Relance Program, the entry of the Bluebus Autonom® into the rolling phase with such high-performance results is the culmination of remarkable collaborative work.

The critical automation phases and the integration of a set of Navya Pack® sensors, containing Navya Drive® and Navya Operate® software, was carried out under the full control of each of the partners, creating the optimal conditions for the successful operational launch of the Bluebus Autonom®.

The project illustrates the extent to which Navya’s autonomous driving solution is adapted to and integratable with existing rolling bases and confirms its strategic positioning as a provider of agnostic autonomous mobility solutions.

This purchase, made as part of the acceleration of beti’s development, aims to strengthen the service offering dedicated to the horizontal mobility of people.

beti chose Navya’s new generation EVO shuttle, which incorporates multiple technological and passenger comfort improvements, offering an ever more fluid and efficient user experience.

beti will deploy this EVO shuttle as well as others to come as part of the RIMA project supported by France 2030, which aims to develop an Inclusive Network of Automated Mobility in the rural Crest & Val de Drôme area. As a reminder, as part of the RIMA project announced in November 2022, beti, Navya, Macif and Vinci Construction aim to deploy 7 autonomous vehicles, 4 of which will have no operator on board. For the first time, the partners will deploy Bluebus Autonom vehicles equipped with the Navya Pack® and the Navya Drive® and Navya Operate® software bricks.

Olivier Le Cornec nominated Chief Executive Officer of Navya

Assembly of the first two Bluebus Autonom® on the production line of the Bolloré site in Quimper

Villeurbanne, France, January 5th, 2023 – 07:30 am CEST – NAVYA (FR0013018041- Navya), a leader in autonomous mobility systems, and its industrial partner Bluebus, part of the Bolloré Group, have finalized the robotization and automation of two Bluebus Autonom® vehicles and have successfully completed all commissioning tests.

The vehicles, operational for level 4 autonomous driving, will now begin their driving phase on a test track.

This new step marks the achievement of a perfect collaboration between the Navya and Bluebus teams to automate an existing series-produced vehicle. The two teams have demonstrated their ability to work together to produce an industrial production vehicle in a very short time. This step is part of the EFIBA project (Emergence Filière Industrielle Bus Autonome) of the France Relance program.

After only one month of assembly, the Bluebus and Navya teams were able to assemble and integrate all of Navya’s technologies into the Bluebus’ robotic platform for series production.

The Navya technology components integrated in the Bluebus Autonom® include the Navya Pack® sensors set and the Navya Drive® and Navya Operate® software bricks.  The overall design is based on the interaction between the Navya components and the robotic vehicle control (braking, acceleration, steering) developed by Bluebus.

Bluebus Autonom® is the first vehicle to reach level 4 of automation thanks to an inter-system design at the best level of the automotive state of the art and has the safety concepts essential for the deployment of autonomous mobility without an operator on board.

Bluebus Autonom®, driven by the Navya autonomous system, will be series-produced at the Bluebus plant in Quimper on a production line dedicated to autonomous vehicles in compliance with Bluebus’ industrial methods and with high expectations regarding the vehicle’s technical and economic efficiency.

This successful project confirms Navya’s ability to transpose its autonomous mobility technology and systems to any existing mass-produced platform, in partnership with industrial players familiar with the requirements of the automotive industry.

In addition, the latest range tests on the Bluebus 6m conducted by UTAC, the market leader in vehicle testing and certification, have validated a record range of 280km*, demonstrating the capacity and reliability of our new bus to meet current and future urban transport needs.

New Management Board

Her resignation will take effect on December 31st, 2022.
